I. General Terms and Conditions<\/p>

\u00a7 1 Basic Provisions<\/p>

(1) The following Terms and Conditions apply to contracts concluded between you and us as the provider (Schieritz & Pollet Health Solutions 360 GbR) via the website health-solutions-360.store. Unless otherwise agreed, we hereby object to the inclusion of any of your own terms and conditions that you may use.<\/p>

(2) For the purposes of the following provisions, a consumer is any natural person who concludes a legal transaction for purposes that can be attributed predominantly neither to their commercial nor to their independent professional activity. An entrepreneur is any natural or legal person, or a partnership with legal capacity, who, when concluding a legal transaction, acts in the exercise of their independent professional or commercial activity.
\u00a7 2 Conclusion of the Contract<\/p>

(1) The subject matter of the contract is the sale of goods.<\/p>

(2) By posting the respective product on our website, we hereby submit to you a binding offer to conclude a contract via the online shopping cart system, subject to the terms specified in the product description.<\/p>

(3) The contract is concluded via the online shopping cart system as follows:
The items you intend to purchase are placed in the \"Shopping Cart.\" You can access the \"Shopping Cart\" via the corresponding button in the navigation bar and make changes to it at any time.
After clicking the \u201cCheckout\u201d or \u201cProceed to Order\u201d button (or a similarly labeled button) and entering your personal details, as well as your payment and shipping preferences, your order details will be displayed to you as a final order summary.<\/p>

If you use an instant payment system (e.g., PayPal (Express\/Plus\/Checkout), Amazon Pay, Sofort) as your payment method, you will either be directed to the order summary page in our online shop or redirected to the website of the instant payment system provider.

\u00a7 3 Right of Retention, Reservation of Title<\/p>

(1) You may exercise a right of retention only insofar as the claims arise from the same contractual relationship.<\/p>

(2) The goods remain our property until full payment of the purchase price.<\/p>

(3) If you are an entrepreneur, the following applies in addition:<\/p>

a) We retain title to the goods until all claims arising from the ongoing business relationship have been fully settled. Prior to the transfer of title to the reserved goods, pledging or collateral assignment is not permitted.<\/p>

b) You may resell the goods in the ordinary course of business. In this event, you hereby assign to us all claims arising from such resale up to the amount of the invoice total; we accept this assignment. You remain authorized to collect the claim. However, insofar as you fail to duly fulfill your payment obligations, we reserve the right to collect the claim ourselves.<\/p>

c) In the event of the combination or commingling of the reserved goods, we acquire co-ownership of the new item in proportion to the invoice value of the reserved goods relative to the other processed items at the time of processing.<\/p>

d) We undertake, upon your request, to release such collateral to which we are entitled to the extent that the realizable value of our collateral exceeds the secured claim by more than 10%. The selection of the collateral to be released lies within our sole discretion.<\/p>

\u00a7 4 Warranty<\/p>

(1) Statutory rights regarding liability for defects apply.<\/p>

(2) As a consumer, you are requested to inspect the goods immediately upon delivery for completeness, obvious defects, and transport damage, and to notify us\u2014as well as the carrier\u2014of any complaints as soon as possible. Failure to do so does not affect your statutory warranty claims.<\/p>

(3) Insofar as a characteristic of the goods deviates from the objective requirements, such deviation shall be deemed agreed only if you were informed thereof by us prior to the submission of our contractual declaration, and if the deviation was expressly and separately agreed upon between the contracting parties.<\/p>

(4) Insofar as you are an entrepreneur, the following applies by way of derogation from the foregoing warranty provisions:<\/p>

a) As regards the quality of the goods, only our own specifications and the manufacturer\u2019s product description shall be deemed agreed; other advertising, public endorsements, and statements by the manufacturer shall not be deemed agreed.<\/p>

b) In the event of defects, we shall, at our discretion, provide a remedy either by way of repair or replacement delivery. Should the rectification of the defect fail, you may, at your discretion, demand a reduction in the purchase price or withdraw from the contract. The rectification of a defect shall be deemed to have failed after a second unsuccessful attempt, unless the nature of the goods or the defect, or other circumstances, dictate otherwise. In the event of repair, we shall not be required to bear any increased costs incurred as a result of transporting the goods to a location other than the place of performance, provided that such transport does not correspond to the intended use of the goods.<\/p>

c) The warranty period is one year from the delivery of the goods. This reduction of the period does not apply:<\/p>

\u2013 for damages culpably caused by us resulting from injury to life, body, or health, and for other damages caused intentionally or through gross negligence;
\u2013 insofar as we have fraudulently concealed the defect or assumed a guarantee for the quality of the item;
\u2013 in the case of items which, in accordance with their customary use, have been incorporated into a structure and have caused its defectiveness;
\u2013 in the case of statutory recourse claims that you have against us in connection with rights regarding defects.<\/p>

\u00a7 5 Choice of Law<\/p>

(1) German law shall apply. In the case of consumers, this choice of law shall apply only insofar as it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the state of the consumer\u2019s habitual residence (principle of favorability).<\/p>

(2) The provisions of the UN Convention on Contracts for the International Sale of Goods expressly do not apply.<\/p>
